3. Client Responsibilities

As a client, you agree to:

• Respond to requests for information in a timely manner
• Review and approve deliverables within agreed-upon timeframes
• Make payments according to the agreed schedule

4. Payment Terms

Pricing and Invoicing

Service fees will be outlined in individual proposals or contracts. Unless otherwise specified, invoices are due within 30 days of the invoice date.

Late Payments

Late payments may incur additional fees. We reserve the right to suspend services for accounts with outstanding balances beyond the due date.

Refunds

Refund policies will be detailed in individual service agreements. Generally, payments for completed work are non-refundable.

You retain ownership of all materials, content, and information you provide to us.

Deliverables

Upon full payment, you will receive the agreed-upon rights to deliverables as specified in the service agreement. We retain the right to use project work in our portfolio and marketing materials unless otherwise agreed.

All tools, methodologies, frameworks, and pre-existing materials we use remain our property.

6. Confidentiality

We will maintain the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law or as necessary to provide our services.

7. Project Timelines

We will make reasonable efforts to meet agreed-upon deadlines. However, timelines may be affected by factors beyond our control, including delayed client feedback or approval, scope changes, or unforeseen technical challenges.

8. Warranties and Disclaimers

We warrant that our services will be performed with reasonable care and skill. However, we make no guarantees regarding specific outcomes or results. Our services are provided "as is" without warranties of any kind, either express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, MerlinVicki shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the fees paid by you for the specific services giving rise to the claim.

10. Termination

Either party may terminate a service agreement with written notice. Upon termination, you will be responsible for payment of all services rendered up to the termination date. Any prepaid fees for services not yet provided may be refunded at our discretion.

11. Modification of Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of the modified terms.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which MerlinVicki operates, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes may be resolved through mediation or arbitration as mutually agreed.
